    Join a well-established Commercial & Corporate team within a highly regarded mid-sized CBD firm. In this role, you will be responsible for providing high-quality legal advice and support to a diverse range of corporate and commercial clients. This is a full-time role based in Melbourne CBD, with opportunities for flexible and remote working arrangements.

    What you'll be doing
    1. Advise on M&A transactions for both not-for-profit and for-profit (typically private) clients across health, aged care, disability and community sectors
    2. Provide expert guidance on corporate governance matters, including directors’ duties, conflicts of interest, elections and appointments, and dispute resolution
    3. Draft, negotiate and review a wide range of commercial agreements, including service agreements, management arrangements, consultancy contracts, sponsorships, funding and grant agreements
    4. Advise on and implement business structures and restructures, including companies and trusts, ensuring full regulatory compliance
    5. Act for clients navigating regulatory approvals and engagements with FIRB, ACCC and ASIC
    6. Develop and refine governance frameworks, including constitutions, association rules, board charters and corporate policies
    7. Mentor and supervise junior lawyers and graduates, supporting capability development and team growth
    What we're looking for
    • 3 + years PAE working in general corporate and commercial matters
    • Experience in the health, aged care, disability or not-for-profit sectors is preferred, however, not essential
    • Thorough understanding of corporate and commercial law, as well as relevant regulations and compliance requirements
    • Excellent communication and client relationship management skills
    • Ability to work independently and as part of a collaborative team
    • Commitment to delivering high-quality, commercially-focused legal advice
